TERMS AND CONDITIONS OF BOOKING AND INTERMEDIARY SERVICES
U.S.-Based Resort Vacation Brokerage — Accommodations Located in Mexico
Effective Date: August 1, 2025
Last Updated: January 25, 2026
Company Legal Name: Cabo Charlie Vacations
Website: www.cabocharlie.com
Business Address: 25 HP Village, Suite 100; Dallas, TX 75205
IMPORTANT NOTICE TO ALL GUESTS: WE ARE AN INDEPENDENT BOOKING INTERMEDIARY — NOT THE RESORT OPERATOR
Cabo Charlie Vacations is a U.S. based business that facilitates bookings for timeshare weeks and vacation accommodations located in Mexico.
Unless expressly stated otherwise in a separate written agreement, we do not own, operate, manage, maintain, staff, or control the resorts, condominium complexes, hotel properties, or other accommodations offered through our website.
The accommodations are operated or controlled by independent Mexican resort operators, property managers, timeshare owners, timeshare members, or other third-party suppliers.
ALL ISSUES CONCERNING THE QUALITY, CONDITION, CLEANLINESS, MAINTENANCE, AMENITIES, STAFFING, SERVICES, OR OPERATION OF A RESORT MUST BE REPORTED DIRECTLY TO THE RESORT'S MANAGEMENT WHILE YOU ARE AT THE PROPERTY.
Guests must give the resort a reasonable opportunity to investigate and resolve on-site problems during their stay. Our company does not control resort management and cannot guarantee that a resort will provide a room change, upgrade, repair, credit, compensation, refund, or other remedy.
Our role is limited to the intermediary and booking services expressly described in these Terms. We remain responsible for our own contractual obligations and conduct to the extent required by applicable law.
Please read these Terms carefully before booking.
1. ACCEPTANCE OF TERMS
These Terms and Conditions (“Terms”) govern the use of our website, booking services, and related intermediary services.
By submitting a reservation request, making a booking, submitting payment, or otherwise completing a transaction through our website, you acknowledge that you have had an opportunity to review these Terms and agree to the provisions applicable to your transaction.
Where required by law, affirmative acceptance will be obtained before the booking becomes binding.
These Terms must be read together with the applicable booking confirmation, property-specific disclosures, cancellation and refund policy, and other terms expressly incorporated into your reservation.
Nothing in these Terms is intended to waive a consumer right that cannot legally be waived under applicable U.S. or Mexican law.
2. OUR BUSINESS AND INTERMEDIARY ROLE
Cabo Charlie Vacations operates from the United States and facilitates the arrangement of vacation accommodations in Mexico.
Depending on the particular reservation, a timeshare week may be made available by an individual timeshare owner, a timeshare member, a resort, a management company, or another accommodation supplier.
Unless expressly agreed otherwise in writing:
a. We act as an intermediary facilitating a booking between the guest and the relevant accommodation supplier.
b. We are not the owner, operator, manager, landlord, or on-site service provider for the Mexican resort.
c. We do not employ or supervise resort staff.
d. We do not control the resort's maintenance, housekeeping, security, facilities, room assignments, staffing, operational policies, or day-to-day decisions.
e. We do not independently guarantee the physical condition, quality, cleanliness, availability, or performance of the resort or its services.
f. We do not have authority to compel a resort to provide an upgrade, repair, refund, credit, compensation, or other remedy.
g. We do not provide on-site hospitality, housekeeping, maintenance, security, or resort-management services unless a specific service is expressly described in a separate written agreement.
The fact that a reservation is arranged, confirmed, advertised, or paid for through our website does not, by itself, mean that we operate or control the resort.
Our legal role will be determined by the actual transaction and applicable law, not solely by the terminology used in these Terms.
3. INDEPENDENT RESORT OPERATORS IN MEXICO
The resorts and accommodation providers featured on our website are independent third parties unless expressly identified otherwise in writing.
The resort's own management is responsible for the day-to-day operation of its facilities and the services it provides to guests, subject to applicable law and the terms of the guest's accommodation arrangement.
This includes, as applicable:
Housekeeping and cleaning.
Room condition, furnishings, appliances, plumbing, and air conditioning.
Maintenance and repairs.
Front desk, concierge, and guest services.
Restaurants, pools, fitness centers, spas, beaches, and other amenities.
Resort security and on-site procedures.
Staff conduct and customer service.
Resort rules, registration procedures, and occupancy policies.
Construction, renovation, and facility closures.
Utility services and other property operations.
We are not responsible for the independent acts or omissions of these third parties to the extent those acts or omissions are outside our control and the law permits such a limitation.
This allocation does not relieve us of responsibility for our own booking errors, contractual breaches, or other conduct for which we may be liable.
4. APPLICABLE U.S. AND MEXICAN LAW
Our business is based in the United States, while the accommodations offered through our services are located in Mexico.
The laws applicable to a particular transaction may therefore include U.S. federal law, applicable U.S. state law, Mexican federal law, applicable Mexican state law, and other mandatory legal requirements.
Subject to applicable law, these Terms are intended to govern the relationship between the guest and Cabo Charlie Vacations concerning the intermediary services provided by our U.S. business.
The laws of the State of Texas are intended to govern these Terms, without regard to conflict-of-law principles, to the extent that choice is legally effective.
However, this provision does not exclude or override mandatory Mexican laws that apply to the accommodation, resort operations, consumer transaction, or activities occurring in Mexico. It also does not override mandatory U.S. consumer protections or other non-waivable legal rights.
The Mexican Federal Consumer Protection Law and other applicable Mexican legal requirements may govern aspects of the transaction or services, depending on the circumstances. Nothing in these Terms is intended to circumvent applicable Mexican consumer-protection requirements.
Any provision that is unenforceable under the law applicable to a particular claim will be applied only to the extent legally permitted.
5. ACCOMMODATION DESCRIPTIONS AND ADVERTISING
Property descriptions, photographs, amenity lists, room categories, floor plans, and other accommodation information may be provided by resorts, owners, management companies, or other third-party suppliers.
We may relay information from these sources but do not independently inspect or verify every feature of every unit.
Actual conditions may differ from photographs or general descriptions because of differences in individual units, furnishings, maintenance, renovations, seasonal operations, or changes made by the resort.
Unless expressly confirmed in writing, a specific room number, floor, view, layout, furnishing, or other preference is not guaranteed.
Amenities may be unavailable, restricted, seasonal, or temporarily closed because of maintenance, renovations, weather, staffing, safety concerns, or other operational circumstances.
We will not knowingly make a materially false or misleading representation about a property. Information known to us that is material to the booking will be disclosed when required by applicable law.
6. NO INDEPENDENT GUARANTEE OF RESORT QUALITY
We do not independently guarantee that a resort will meet every guest's personal expectations regarding luxury, comfort, cleanliness, appearance, service, or overall satisfaction.
Subject to the specific written terms of the reservation, we do not warrant or guarantee:
a. That every room, unit, or facility will be new, recently renovated, or free from ordinary wear and tear.
b. That housekeeping, maintenance, or other services will meet a guest's subjective preferences.
c. That all advertised amenities will remain open or available throughout the stay.
d. That a particular room assignment, view, floor, building, or location will be provided unless expressly guaranteed in writing.
e. That resort employees will respond to requests in a particular manner or within a particular time.
f. That construction, noise, crowds, weather, utility interruptions, or other disturbances will not occur.
g. That a resort will provide upgrades, compensation, refunds, credits, or other discretionary benefits.
This section does not excuse a failure to deliver a specific material feature expressly guaranteed in the booking confirmation or any failure to comply with applicable law.
7. MANDATORY ON-SITE COMPLAINT PROCEDURE
Guests must report problems concerning the resort experience directly to resort management while at the resort.
If you encounter a problem involving your accommodation, cleanliness, maintenance, room assignment, amenities, staff, service, facilities, or another aspect of the resort experience, you agree to take the following reasonable steps:
Step 1: Notify the resort immediately. Contact the front desk, guest services, property manager, or appropriate resort representative as soon as the issue arises.
Step 2: Request a solution. Clearly explain the problem and request an appropriate remedy, such as cleaning, repair, a room change, an alternative available amenity, or assistance from management.
Step 3: Escalate if necessary. If the initial response is unsatisfactory, request a supervisor, manager on duty, or general manager while you are still at the resort.
Step 4: Notify us of any booking-related issue. If the issue also concerns an incorrect reservation, a discrepancy in the confirmed booking, a representation made by us, or a payment processed by us, contact our company promptly.
The resort is ordinarily best positioned to investigate and address conditions at its own property. We cannot direct the resort to provide a particular remedy and cannot guarantee the outcome of a complaint.
Guests agree to provide the resort a reasonable opportunity to address an on-site issue before requesting our voluntary assistance with matters outside our control.
Failure to follow this procedure does not automatically waive any legal right, statutory remedy, or valid claim that cannot lawfully be waived.
8. LIMITATION OF RESPONSIBILITY FOR RESORT OPERATIONS
To the fullest extent permitted by applicable law, Cabo Charlie Vacations is not responsible for independent resort operations or the independent acts or omissions of resort operators, owners, management companies, or other suppliers that are outside our control.
This limitation includes claims relating to:
Poor housekeeping, cleaning, or maintenance.
Defective equipment, appliances, furnishings, plumbing, or air conditioning.
Construction, renovations, noise, or facility closures.
Resort staff conduct, staffing levels, or customer service.
Resort policies, registration procedures, or room assignments.
The resort's refusal to provide a room change, upgrade, refund, credit, or compensation.
Utility interruptions, weather events, natural disasters, or other disruptions affecting resort operations.
Loss, theft, injury, or property damage caused by conditions or conduct at the resort, except to the extent attributable to our own legally actionable conduct.
Changes or cancellations made independently by a resort or supplier.
This limitation applies only to the extent that the matter is genuinely outside our control and applicable law permits the limitation.
It does not excuse our own breach of contract, fraud, negligence where we have a duty of care, unauthorized payment collection, or any other liability that cannot lawfully be excluded.
9. BOOKING CONFIRMATIONS AND RESERVATION ACCURACY
A quotation, inquiry, availability statement, or preliminary reservation request is not necessarily a confirmed booking.
The terms of the specific reservation will be stated in the applicable booking confirmation.
Guests must review the confirmation promptly, including the property, dates, accommodation type, occupancy, price, payment terms, and cancellation policy.
If you identify a material discrepancy, you must notify us as soon as reasonably possible so that the issue can be investigated.
We are responsible for performing the intermediary services we expressly undertake. Where a booking error is attributable to us, we will review the issue and take reasonable corrective steps consistent with the booking terms and applicable law.
A booking may depend on confirmation, registration, or authorization by the relevant owner, resort, or supplier. Any such conditions must be disclosed as applicable.
10. GUEST OBLIGATIONS AND RESORT RULES
Guests must provide accurate information concerning their identity, travel dates, party size, and other booking details.
Guests are responsible for complying with the resort's properly disclosed requirements, including occupancy limits, identification procedures, registration rules, age restrictions, security requirements, and applicable laws.
Special requests, including adjoining rooms, particular views, accessible accommodations, early check-in, late checkout, and specific unit numbers, are not guaranteed unless expressly confirmed in writing.
Guests should verify any essential accessibility or accommodation requirement before booking and should contact the resort directly where necessary to confirm details concerning facilities under the resort's control.
A resort's lawful enforcement of its disclosed rules is outside our operational control. This does not excuse any inaccurate representation made by us concerning those rules.
11. PRICING, TAXES, RESORT FEES, AND ADDITIONAL CHARGES
The total price and applicable payment terms will be disclosed during the booking process and in the booking confirmation. Mandatory charges known to us and required to be included in the advertised total will be disclosed in accordance with applicable law, including applicable U.S. pricing requirements.
Depending on the reservation, charges may include the accommodation price, brokerage fee, booking fee, government taxes, resort fees, deposits, cleaning charges, or other property-related charges.
We will disclose material mandatory charges and other fees that we are legally required to disclose or have agreed to collect. We will not represent a mandatory charge as optional or conceal a fee in a manner prohibited by law.
Charges collected directly by the resort or another supplier may be subject to that party's disclosed policies. As of the date of these Terms the additional taxes and fees collected by the resort at the conclusion of your stay will be:
1. An environmental and sanitation tax in the amount of $83.00 Mexican Pesos (approximately $5.00 USD) per room, per night of your stay.
2. An optional charitable contribution to a local women's charity which amounts to approximately $1.50 USD per room, per night of your stay. Guests can request that this contribution is removed from their account prior to checking out and paying their final account balance.
Where a charge is imposed directly by a resort, the guest should request clarification from the resort regarding its nature, amount, and basis. The guest may also contact us if the charge appears inconsistent with the booking confirmation or a representation made by our company.
12. PAYMENTS AND REFUNDS
The booking confirmation will identify the applicable payment arrangements to the extent relevant to the transaction.
Depending on the booking, payments may be collected by our company, the resort, the timeshare owner, or an authorized payment processor.
Our receipt of a payment does not mean that we operate the resort or guarantee every aspect of its performance.
Cancellation and refund rights are governed by the applicable booking terms and mandatory law.
If we collect the payment, we will process any refund for which we are responsible in accordance with the applicable policy and law. If the resort or another supplier collects a charge directly, the guest will generally need to pursue that party for a refund of the charge, subject to any rights the guest may have against us under the circumstances. All refunds from Cabo Charlie Vacations will be issued net of the 3.9% fee charged by our independent payment processing firm.
Nothing in these Terms authorizes the retention of money where a refund is legally required.
13. CANCELLATIONS AND MODIFICATIONS
Each booking is subject to the cancellation and modification terms disclosed before payment. As of the date of these Terms the standard cancellation policy is:
All resort reservations made through www.cabocharlie.com are fully refundable (excluding payment processing fees) for the first 24 hours after booking, 50% refundable until 15 days prior to arrival, and nonrefundable thereafter.
Those terms should specify applicable deadlines, cancellation charges, refundable amounts, modification fees, and any nonrefundable components.
A change in travel plans, dissatisfaction with a resort, or failure to use a reservation does not entitle a guest to a refund.
However, a blanket no-refund provision will not apply where a refund or other remedy is required by applicable law or the express terms of the booking.
Requests to cancel or modify a reservation must be submitted through the designated contact email listed on the Cabo Charlie Vacations Website. Guests should retain confirmation of their request.
14. RESORT CANCELLATIONS OR FAILURE TO HONOR A BOOKING
If a resort or supplier cancels, changes, relocates, or cannot honor a reservation, guests should contact resort management immediately and notify us promptly.
We will review any aspect of the problem relating to our own booking services and, where appropriate, communicate with the relevant supplier regarding available alternatives.
Possible remedies may include a correction, alternative accommodation, rescheduling, or a refund, depending on the circumstances, the booking terms, and applicable law.
We do not guarantee that a supplier will provide a requested alternative or remedy.
This section does not eliminate our own obligations if a failure results from our conduct or from an obligation that applicable law imposes on us.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, our liability will be limited to losses legally attributable to our own breach of contract or other legally actionable conduct.
We will not be liable for indirect, incidental, special, punitive, or consequential damages where those categories of damages may lawfully be excluded.
We will not be liable for independent resort failures that are outside our control, except to the extent that liability is attributable to our own conduct or otherwise imposed by applicable law.
Nothing in these Terms excludes liability for fraud, intentional misconduct, or any other liability that cannot legally be excluded or limited.
If a limitation is unenforceable under the law applicable to a particular claim, it will apply only to the maximum extent permitted by that law.
16. EVENTS BEYOND REASONABLE CONTROL
Circumstances beyond a party's reasonable control may affect a reservation or stay. These may include severe weather, natural disasters, government restrictions, public emergencies, transportation disruptions, utility failures, or other extraordinary events.
The effect of such circumstances on cancellation, refund, or performance obligations will be determined by the applicable booking terms and law.
This section does not automatically eliminate refund obligations or mandatory consumer protections.
17. INDEMNIFICATION
To the extent permitted by applicable law, guests are responsible for third-party claims arising directly from their own unlawful conduct, material misrepresentation, or material breach of these Terms.
Guests are not required to indemnify us for our own negligence, fraud, intentional misconduct, breach of contract, violation of law, or other conduct for which indemnification cannot lawfully be required.
18. PRIVACY AND PERSONAL INFORMATION
Our handling of personal information is governed by our Privacy Policy at [Insert Privacy Policy URL].
To arrange and administer a reservation, it may be necessary to share relevant booking information with a resort, timeshare owner, management company, or payment processor.
We will handle personal information in accordance with our Privacy Policy and applicable law.
19. DISPUTES, GOVERNING LAW, AND VENUE
Guests with concerns about our booking services, payments, or representations should contact us using the information provided below.
We encourage good-faith efforts to resolve disputes informally where appropriate. This does not prevent a guest from contacting a regulator, payment provider, insurer, or legal adviser or from exercising any applicable legal right.
Subject to applicable law, these Terms are intended to be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Subject to mandatory consumer protections and applicable jurisdictional requirements, proceedings concerning our intermediary services must be brought in the state or federal courts located in Dallas County, Texas.
This provision does not exclude the jurisdiction of a Mexican authority or court where applicable law provides for that jurisdiction, nor does it prevent a consumer from using a forum or remedy that cannot lawfully be waived.
Any arbitration requirement or class-action waiver must be separately reviewed and expressly implemented where legally permissible. No such requirement is created by these Terms alone.
20. CHANGES TO THESE TERMS
We may revise these Terms from time to time by publishing an updated version with a revised effective date.
Changes will apply prospectively unless applicable law permits otherwise.
The terms governing a confirmed reservation will not be materially changed retroactively without a lawful basis or any agreement required by law.
21. SEVERABILITY AND ENTIRE AGREEMENT
If any provision is found unenforceable, it will be limited or severed only to the extent necessary, and the remaining provisions will continue in effect where permitted by law.
These Terms, together with the applicable booking confirmation, disclosed cancellation and refund policy, and other expressly incorporated terms, constitute the agreement concerning the subject matter addressed herein.
Nothing in these Terms overrides a non-waivable consumer right or a legal obligation that cannot be excluded by contract.
